1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Cliency Ltd (“Company”, “we”, “us”, or “our”) concerning your access to and use of IdeaSpec (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

IdeaSpec is a software-as-a-service platform that helps users transform app ideas into structured product specifications. The Service includes:

• An interactive quiz-based interface for gathering project requirements
• AI-powered generation of product specifications
• Export functionality for specifications in various formats
• User account management and project storage

3. User Accounts

3.1 Registration

Some features of the Service require you to create an account. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any conduct we deem harmful to the Service or other users.

4. Subscription and Payments

4.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans have limited features and usage quotas. Paid plans provide additional features and higher limits.

4.2 Billing

Paid subscriptions are billed in advance on a monthly basis. Payment is processed securely through Stripe. By subscribing, you authorise us to charge your payment method for the applicable fees.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial months.

4.4 Refunds

We offer a 14-day money-back guarantee for new paid subscriptions. If you are not satisfied, contact us within 14 days of your initial payment for a full refund.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Harass, abuse, or harm other users
• Generate content that is illegal, harmful, or violates third-party rights
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorisation

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Cliency Ltd and is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you create or submit through the Service, including your app ideas, quiz responses, and generated specifications (“User Content”).

6.3 License to User Content

By using the Service, you grant us a limited license to use, process, and store your User Content solely for the purpose of providing and improving the Service. We will not use your User Content to train AI models without your explicit consent.

7. AI-Generated Content

The Service uses artificial intelligence to generate specifications and other content. You acknowledge that:

• AI-generated content may not be perfect and should be reviewed before use
• You are responsible for reviewing and validating all generated content
• We do not guarantee the accuracy, completeness, or suitability of AI outputs
• Generated specifications are starting points and may require modification

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties regarding the accuracy or reliability of any content
• Warranties that the Service will be uninterrupted, secure, or error-free

We do not warrant that the specifications generated will result in a successful software product or meet your specific requirements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENCY LTD SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages arising from AI-generated content or specifications

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Cliency Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
